Terms of Service

1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern access to and use of the ComplyVigilance platform, including its web application, APIs, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.
2. Services Overview
ComplyVigilance provides software composition analysis (SCA), vulnerability detection, license compliance analysis, and Software Bill of Materials (SBOM) generation services. The Services may be provided through web-based interfaces, command-line integrations, and application programming interfaces (APIs).
3. Account Registration and Security
Access to certain features requires account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must promptly notify ComplyVigilance of any unauthorized access or security breach.
4. Acceptable Use Policy
You agree to use the Services solely for lawful purposes and in compliance with applicable laws and regulations. You shall not:

- ➤Upload malicious code or exploit vulnerabilities
- ➤Interfere with service availability or system performance
- ➤Use the Services for illegal, abusive, or infringing activities
5. Customer Data and Ownership
You retain all rights, title, and interest in any source code, scan results, metadata, and SBOMs submitted to the Services (“Customer Data”). ComplyVigilance does not claim ownership of Customer Data and processes such data solely to provide and improve the Services, in accordance with applicable data protection laws.
6. Intellectual Property Rights
All intellectual property rights in the Services, including software, algorithms, documentation, trademarks, and branding, are owned by or licensed to ComplyVigilance. No rights are granted to you except as expressly set forth in these Terms.
7. Fees and Subscription Terms
Certain Services may be subject to fees under a subscription plan. All fees are billed in accordance with the selected plan and payment terms. Fees are non-refundable unless expressly stated otherwise in a written agreement.
8. Availability and Modifications
The Services are provided on an “as is” and “as available” basis. ComplyVigilance may modify, suspend, or discontinue any part of the Services at any time without liability, provided reasonable notice is given where practicable.
9. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
10. Limitation of Liability
To the maximum extent permitted by applicable law, ComplyVigilance shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or related to the use of the Services, even if advised of the possibility of such damages.
11. Termination
ComplyVigilance may suspend or terminate access to the Services for violation of these Terms or applicable law. Upon termination, your right to access the Services shall immediately cease

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ComplyVigilance is legally established, without regard to conflict of law principles.
13. Changes to Terms and Services
ComplyVigilance may update or modify these Terms from time to time to reflect changes in the Services, legal requirements, or business practices. Any updates will become effective upon posting on the ComplyVigilance platform. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
